We plan and implement campaigns in close coordination with our clients and their legal, investment banking and financial public relations counsel. Every project we undertake begins with a comprehensive review of a company's shareholder base, the identification of key constituencies and the projection of likely voting outcomes. At every stage of a transaction we actively participate in framing and developing tactics and strategy. Initially we review draft solicitation materials in order to identify and address potentially problematic issues. Once a campaign begins, we assist at all levels of shareholder communication, confirming timely receipt of materials and soliciting institutional investors, hedge funds and retail shareholders as appropriate. We identify and contact key voting decision-makers at each institution to ensure they understand the issues and relevant deadlines, and to coordinate communication between the investor and our client. Throughout the campaign, we provide ongoing analyses and vote status reports, which inform both tactics and strategy as the solicitation progresses.
